This Law provides in Paragraph 9 of Section IV &#8220;Final and Transitional Provisions&#8221; (as at the date of publication of this material) that:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">&#8220;9. The Bureau of Economic Security of Ukraine shall start its activity <mark>no later than six months<\/mark> from the date of entry into force of this Law&#8221;.<\/span><\/p>\n<p style=\"text-align: justify;\">In addition, Paragraph 10 of the Final and Transitional Provisions of the Law on BESU explicitly provides for the obligation of the Cabinet of Ministers of Ukraine to liquidate the State Fiscal Service of Ukraine (where the tax police still functions as a part of it):<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">\u201c10. The Cabinet of Ministers of Ukraine shall:<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">2) <strong>ensure the liquidation of the State Fiscal Service of Ukraine<\/strong> <strong>not later than six months from the date of entry into force<\/strong> of this Law&#8221;.<\/span><\/p>\n<p style=\"text-align: justify;\">Six months from the date of entry into force of the Law on BESU falls on September 25. Therefore, we propose to find out whether the Bureau of Economic Security of Ukraine (the BESU) has been launched, and will the tax police stop its activity? What to expect next?<\/p>\n<p style=\"text-align: justify;\"><!--more--><\/p>\n<p style=\"text-align: justify;\">1.<\/p>\n<p style=\"text-align: justify;\">In accordance with Part 1 of Article 1 of the Law on BESU, the Bureau of Economic Security of Ukraine <span style=\"font-family: 'courier new', courier, monospace;\">&#8220;is a central body of executive power, which is entrusted with the task of counteracting offenses that encroach on the functioning of the state economy&#8221;<\/span>.<\/p>\n<p style=\"text-align: justify;\">Given the status of the BESU as a central executive body, its establishment is subject to the provisions of Article 5 of the Law of Ukraine &#8220;On Central Executive Bodies&#8221;, which provides that the relevant bodies are established by the Cabinet of Ministers of Ukraine. In accordance with Part 9 of Article 5 of this Law: <span style=\"font-family: 'courier new', courier, monospace;\">&#8220;The procedure for implementing measures related to the formation, reorganization or liquidation of ministries and other central executive bodies shall be determined by the Cabinet of Ministers of Ukraine&#8221;<\/span>.<\/p>\n<p style=\"text-align: justify;\">Therefore, Paragraph 13 of the relevant Procedure, approved by the Resolution of the Cabinet of Ministers of Ukraine of October 20, 2011, No. 1074, provides that the Act of the Cabinet of Ministers of Ukraine is required for the start of activity, and such an Act: <span style=\"font-family: 'courier new', courier, monospace;\">&#8220;is issued after the implementation of measures related to registration of the formed body of executive power as a legal entity of public law, by approval of the regulations on it, structure and staff list, budget and filling of 30 percent of vacancies&#8221;.<\/span><\/p>\n<p style=\"text-align: justify;\">According to the public statements of the Director of the BESU (for example, &#8220;<a href=\"https:\/\/mind.ua\/news\/20230849-melnik-byuro-ekonomichnoyi-bezpeki-ne-vstigayut-zapustiti-vchasno\" target=\"_blank\" rel=\"noopener\">Failure to launch the Bureau of Economic Security in time<\/a>&#8220;, <a href=\"https:\/\/suspilne.media\/161881-mi-ne-vstigaemo-buro-ekonomicnoi-bezpeki-moze-ne-zapustitisa-25-veresna-golova-beb\/\" target=\"_blank\" rel=\"noopener\" class=\"broken_link\">&#8220;\u2019We need more time\u2019: The Bureau of Economic Security may not start on September 25 \u2013 The Head of the BESU&#8221;<\/a>, <a href=\"https:\/\/www.ukrinform.ua\/rubric-economy\/3311783-melnik-kaze-so-buro-ekonomicnoi-bezpeki-ne-vstigaut-zapustiti-vcasno.html\" target=\"_blank\" rel=\"noopener\">&#8220;Melnyk says that the launch of the Bureau of Economic Security is delayed\u201d<\/a>), the BESU has been established, but 30 percent of vacancies have not been filled yet. Accordingly, the Act of the Cabinet of Ministers of Ukraine, which is binding for the start of the BESU as a central executive body, was not adopted by September 25.<\/p>\n<p style=\"text-align: justify;\">2.<\/p>\n<p style=\"text-align: justify;\">That is, in fact, the BESU did not start its activity on September 25, as it is required by the Law on BESU, since not all internal procedures for the establishment of the relevant body as a central executive body were completed and the relevant Act was not issued by the Cabinet of Ministers of Ukraine.<\/p>\n<p style=\"text-align: justify;\">Certainly, the Law of Ukraine &#8220;On Central Executive Bodies&#8221; provides that in such a case, according to Part 7 of Article 5 of this Law, a body that is being terminated shall exercise powers and functions :<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">&#8220;7. Ministries, other central executive bodies, in respect of which the act of the Cabinet of Ministers of Ukraine on their termination has entered into force shall continue to exercise powers and functions in respective areas of competence until the completion of measures to establish the Ministry, other central executive body, to which the powers and functions of the ministry, other central executive body, that is being terminated, are transferred, and the possibility of ensuring the exercise of these functions and powers, as issued by the relevant act of the Cabinet of Ministers of Ukraine&#8221;.<\/span><\/p>\n<p style=\"text-align: justify;\">However, firstly, by law there is no such central executive body that would have powers and functions in the relevant area of \u200b\u200bcompetence. This has been repeatedly discussed in our reviews (for example, in the information letter <a href=\"https:\/\/kmp.ua\/en\/analytics\/exclusive\/what-is-to-be-done-with-ghosts\/\" target=\"_blank\" rel=\"noopener\">&#8220;What is to be done with \u201cghosts\u201d (or if the financial investigations department as a part of the tax authority is addressing you now)<\/a>).<\/p>\n<p style=\"text-align: justify;\">Secondly, in this connection, the apt position of the binding case law of the European Court of Human Rights (ECtHR) comes to mind. In particular, the Decision on the case of Rysovskyy v. Ukraine (Application no. 29979\/04)which, inter alia, sets out the following:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">&#8220;71. In other words, <strong>State authorities which fail to put in place or adhere to their own procedures should not be allowed to profit from their wrongdoing\u00a0or\u00a0to\u00a0escape their obligations<\/strong> (see\u00a0<em>Lelas<\/em>, cited above, \u00a7\u00a074). <strong>The risk of any\u00a0mistake\u00a0made by the State authority must be borne by the State\u00a0itself<\/strong>\u00a0and the errors must not be remedied at the expense of the individuals\u00a0concerned (see,\u00a0among other authorities,\u00a0<em>mutatis\u00a0mutandis,\u00a0Pincov\u00e1 and Pinc,\u00a0<\/em>cited above<em>,\u00a0<\/em>\u00a7\u00a058;<em>\u00a0Gashi v. Croatia<\/em>, no.\u00a0<a href=\"https:\/\/hudoc.echr.coe.int\/eng#{%22appno%22:[%2232457\/05%22]}\" target=\"_blank\" rel=\"noopener\">32457\/05<\/a>, \u00a7\u00a040, 13 December 2007\u00a0and\u00a0<em>Trgo v. Croatia<\/em>, no.\u00a0<a href=\"https:\/\/hudoc.echr.coe.int\/eng#{%22appno%22:[%2235298\/04%22]}\" target=\"_blank\" rel=\"noopener\">35298\/04<\/a>,\u00a0\u00a7\u00a067, 11 June 2009)\u201d.<\/span><\/p>\n<p style=\"text-align: justify;\">In terms of the issue under discussion, this can be interpreted as evidence that the delay in the establishment of the BESU cannot have negative consequences for business, as well as for the respective reasons the ongoing questionable activity of the State Fiscal Service (where the tax police, which is deprived of powers, still functions) on the investigation of criminal offenses.<\/p>\n<p style=\"text-align: justify;\">3.<\/p>\n<p style=\"text-align: justify;\">Therefore, the possibility of continuing the activity of the bodies of the State Fiscal Service (which includes the tax police) as bodies of pre-trial investigation should not be considered by law.<\/p>\n<p style=\"text-align: justify;\">This raises the question of the materials of criminal proceedings in such bodies. According to Paragraph 2 of Section IV &#8220;Final and Transitional Provisions&#8221; of the Law on BESU:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">\u201c2. Materials of criminal proceedings, which on the day of the beginning of activity of the Bureau of Economic Security of Ukraine stay in other body of pre-judicial investigation at a stage of pre-judicial investigation, but in accordance with the law, are the subjects of the Bureau of Economic Security of Ukraine, within two months from the date of the decision to start the Bureau of Economic Security of Ukraine shall be transferred by the pre-trial investigation body to the respective prosecutor in criminal proceedings for further decision to be made in accordance with the Criminal Procedure Code of Ukraine.<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">Materials of criminal proceedings, which stay in the pre-trial investigation bodies monitoring compliance with tax legislation, at the stage of pre-trial investigation, shall be transferred to the relevant prosecutor in criminal proceedings for further transfer to the Bureau of Economic Security of Ukraine in accordance with the Criminal Procedure Code of Ukraine\u201d.<\/span><\/p>\n<p style=\"text-align: justify;\">Given that the day of commencement of activity should be considered in the light of legitimate expectations and the inadmissibility of transferring the negative consequences of the internal delay of such a day, the deadline for transfer of proceedings should be considered\/counted from the date specified by the Law on BESU. Based on the current wording of the Law on BESU, the materials of the criminal proceedings should be submitted to the prosecutor within two months from September 25.<\/p>\n<p style=\"text-align: justify;\">However, the relevant duty is limited to the following wording <span style=\"font-family: 'courier new', courier, monospace;\">&#8220;in other body of pre-judicial investigation at a stage of pre-judicial investigation, but in accordance with the law, <span style=\"text-decoration: underline;\">are the subjects of the Bureau of Economic Security of Ukraine<\/span>&#8220;<\/span>, which raises questions.<\/p>\n<p style=\"text-align: justify;\">Although the future competence of the BESU is clear, literally the jurisdiction over criminal proceedings for the BESU is not defined by law. Thus, the jurisdiction is determined by Article 214 of the Criminal Procedure Code of Ukraine (the CPC of Ukraine). The Law on BESU neither in its main provisions nor in the transitional and final provisions establishes the jurisdiction over criminal proceedings for BESU and does not amend the relevant provisions as well.<\/p>\n<p style=\"text-align: justify;\">This issue is expected to be regulated in a separate law, which is currently being considered by the Verkhovna Rada of Ukraine. This is the bill <a href=\"http:\/\/w1.c1.rada.gov.ua\/pls\/zweb2\/webproc4_1?pf3511=69708\" target=\"_blank\" rel=\"noopener\">No. 3959-1 of August 25, 2020,<\/a> regarding the Law on Amendments to the Administrative and Criminal Legislation on the Implementation of the Bureau of Economic Security of Ukraine, which was adopted in the first reading on February 3, 2021.<\/p>\n<p style=\"text-align: justify;\">In accordance with this bill, amendments to the CPC of Ukraine are proposed to determine the jurisdiction over crimes under Articles 199, 200, 203-2, 204, 205-1, 206, 212, 212-1, 218-1, 219, 220-1, 220-2, 222, 222-1, 223-1, 223-2, 224, 229, 231, 232, 232-1, 232-2, 233 of the Criminal Code of Ukraine (as well as some other articles in cases specified by the CPC of Ukraine), for the Bureau of Economic Security.<\/p>\n<p style=\"text-align: justify;\">We would like to note that today in accordance with Part 3 of Article 216 of the CPC of Ukraine, criminal proceedings under most of these articles are in jurisdiction of investigative bodies that monitor compliance with tax legislation. That is, in the jurisdiction of the investigative units of the State TAX Service of Ukraine (in accordance with Subparagraph 41.1.1 of Paragraph 41 of Article 41 of the TCU), which were not established, but not of the State Fiscal Service of Ukraine, as is often referred to by the tax police.<\/p>\n<p style=\"text-align: justify;\">Similar changes are proposed to the provisions of Article 38 of the CPC of Ukraine regarding the emergence of BESU bodies among the pre-trial investigation bodies and Article 41 of the CPC of Ukraine on granting powers to operational units of the newly created body.<\/p>\n<p style=\"text-align: justify;\">Based on the above, currently there are no grounds for the tax police to continue the pre-trial investigation or to organize the transfer of relevant materials of criminal proceedings to the prosecutor, as such cases are not in jurisdiction of the BESU yet.<\/p>\n<p style=\"text-align: justify;\">4.<\/p>\n<p style=\"text-align: justify;\">At the same time, as noted above, Paragraph 10 of the Final and Transitional Provisions of the Law on BESU explicitly provides for the obligation of the Cabinet of Ministers of Ukraine to liquidate the State Fiscal Service of Ukraine by September 25.<\/p>\n<p style=\"text-align: justify;\">Therefore, in view of the principle of good governance, one can say that, to some extent, there are legitimate expectations for the liquidation of the State Fiscal Service by the Cabinet of Ministers of Ukraine, and if such liquidation is not ensured, the consequences in the form of continued and unlawful pressure from the tax police should not be shouldered to the business.<\/p>\n<p style=\"text-align: justify;\">The relevant situation with the continuation of activity of the already illegal body may well be considered in terms of violation of \u00a0international obligations by Ukraine, in particular under the Convention for the Protection of Human Rights and Fundamental Freedoms, and is, therefore, likely to be the subject of a separate examination in the ECtHR.<\/p>\n<p style=\"text-align: justify;\">5.<\/p>\n<p style=\"text-align: justify;\">For these reasons, the current situation raises many questions. Given the stated legislative priority in the policy of combating economic offenses (although the effectiveness of this direction, in our opinion, is questionable in the absence of transparent and adequate rules of tax policy of the State), there are some attempts to &#8220;correct&#8221; the situation.<\/p>\n<p style=\"text-align: justify;\">On September 22, 2021, the Verkhovna Rada of Ukraine adopted in the second reading and in general the Law of Ukraine \u201cOn Amendments to Article 11 of the Law of Ukraine \u2018On Currency and Currency Transactions\u2019 concerning the Performance by Banks of the Functions of Currency Supervision Agents\u201d (Bill No. 5851 of August 17, 2021).<\/p>\n<p style=\"text-align: justify;\">As at the date of this review, the final text of this law is not available, but based on the text of its bill before the second reading and voting results, it is seen that under the guise of settling currency issues (the name of the law does not quite correspond to its essence), the legislator \u201cpostponed\u201d the creation of the BESU (the beginning of its activity) for another two months.<\/p>\n<p style=\"text-align: justify;\">Based on the available text of the bill No. 5851 to the second reading, it is stipulated that:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">&#8220;1. This Law shall enter into force on the day following its publication, but not earlier than the day of entry into force of the Law of Ukraine &#8220;On Amendments to Laws of Ukraine Concerning Certain Issues of Activity of the National Bank of Ukraine&#8221;, <span style=\"background: lime;\">except for Paragraph 2 of this Section, which <strong>enters into force on September 25, 2021<\/strong>,<\/span> <span style=\"background: aqua;\">but not earlier than the date of publication of this Law<\/span>.<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">2. The provisions of Paragraph 3 of this Section <mark>shall apply from September 25, 2021<\/mark>.<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">3. To amend the following legislative acts of Ukraine:<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">1) <mark>in the third paragraph of item 1 of section II &#8220;Final and Transitional Provisions&#8221; of the Law of Ukraine &#8220;On Amendments to the Tax Code of Ukraine to improve the investment climate in Ukraine&#8221;<\/mark> (Vidomosti Verkhovnoi Rady Ukrainy [Gazette of Ukraine&#8217;s Supreme Council], 2017, No. 5-6, p. 48 with the changes introduced by the Law of Ukraine of January 29, 2021, No. 1156-IX) the word <span style=\"background: aqua;\">&#8220;six&#8221;<\/span> shall be replaced by the word <mark>&#8220;eight&#8221;<\/mark>;<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">2) <span style=\"background: lime;\">in Section VI &#8220;Final and Transitional Provisions&#8221; of the Law of Ukraine &#8220;On the Bureau of Economic Security of Ukraine&#8221;<\/span> (Vidomosti Verkhovnoi Rady Ukrainy [Gazette of Ukraine&#8217;s Supreme Council], 2021, No. 23, p. 197):<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">in paragraph 1, the word <span style=\"background: aqua;\">&#8220;six&#8221;<\/span> shall be replaced by the word <mark>&#8220;eight&#8221;<\/mark>;<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">in subparagraph 15 of paragraph 5, section forty-three shall be deleted;<\/span><\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">in paragraph 9 and subparagraph 2 of paragraph 10, the word <span style=\"background: aqua;\">&#8220;six&#8221;<\/span> shall be replaced by the word <mark>&#8220;eight&#8221;<\/mark>.<\/span><\/p>\n<p style=\"text-align: justify;\">According to the official website of the Verkhovna Rada of Ukraine, such a bill is currently being prepared for the signature of the President of Ukraine. If such a Law is signed by the President of Ukraine, the relevant provisions will enter into force.<\/p>\n<p style=\"text-align: justify;\">However, can the provisions on the extension of the term from 6 months to 8 months enter into force, as stated in the text of the bill before the second reading? As of September 25, information about the signing of such a normative legal act and its officially published text are not publicly available.<\/p>\n<p style=\"text-align: justify;\">Therefore, the entry into force of the relevant provisions of the law, if such a law is signed by the President of Ukraine, will already have the retroactive effect of the law in time.<\/p>\n<p style=\"text-align: justify;\">According to Article 58 of the Constitution of Ukraine, such retroactive effect of the law in time is allowed only in exceptional cases and is prohibited according to the general rule:<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\"><span style=\"font-family: 'courier new', courier, monospace;\">&#8220;Article 58.
